Last updated: August 20, 2026

These Terms and Conditions govern your use of the Chefalo Consulting website and your access to or purchase of resources, courses, toolkits, videos, and other materials offered through or linked from this website.

By accessing or using this website, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree with these Terms and Conditions, please do not use the website or purchase or access materials offered through it.

1. ABOUT THESE TERMS

This website is owned and operated by Chefalo Consulting, LLC, a Michigan limited liability company. In these Terms and Conditions, “Chefalo Consulting,” “we,” “us,” and “our” refer to Chefalo Consulting, LLC. “You” and “your” refer to any visitor, purchaser, participant, or other person who uses the website or accesses materials offered through it.

These Terms and Conditions apply to the website, public content, free resources, digital products, and other materials offered through or linked from the website. Separate proposals, contracts, scopes of work, booking terms, checkout terms, or written agreements may apply to specific products or professional services. If a separate written agreement conflicts with these Terms and Conditions, the separate agreement controls for the subject it addresses.

2. WEBSITE PURPOSE

Chefalo Consulting provides trauma-informed and human-centered education, speaking, training, guided learning, resources, and implementation consulting for organizations that serve people.

The website provides information about Chefalo Consulting, its services, publications, resources, learning opportunities, and ways to begin or continue working together. Website content may be changed, expanded, corrected, or removed at any time.

3. ELIGIBILITY

You may browse publicly available website content regardless of age, subject to appropriate adult supervision where applicable. To make a purchase, submit an organizational inquiry, register for a paid offering, license materials, or enter into a binding agreement through or in connection with the website, you must be at least 18 years old and have the legal authority to enter into the transaction or agreement.

If you act on behalf of an organization, you represent that you have authority to bind that organization to the applicable terms, license, purchase, or agreement.

4. EDUCATIONAL AND INFORMATIONAL PURPOSES

Website content and Chefalo Consulting resources are provided for educational and informational purposes. They are intended to support learning, reflection, leadership, communication, organizational practice, and implementation.

The website and its materials do not provide medical, mental-health, psychological, legal, financial, crisis, emergency, or other licensed professional advice. They are not a substitute for diagnosis, treatment, therapy, legal counsel, financial counsel, emergency assistance, or services from a qualified professional who understands your circumstances.

If you or another person may be in immediate danger or experiencing an emergency, contact local emergency services or an appropriate crisis resource. Do not rely on this website for emergency or crisis support.

5. NO GUARANTEE OF RESULTS

Organizational change and individual learning are affected by many factors outside Chefalo Consulting’s control. We do not guarantee any particular organizational, cultural, financial, employment, leadership, wellbeing, legal, educational, implementation, or other outcome from using this website, purchasing a product, attending a program, or applying any information or resource.

Examples, observations, testimonials, and descriptions of prior work illustrate experiences or possibilities. They do not promise that another person or organization will receive the same results.

6. PURCHASES THROUGH EXTERNAL PLATFORMS

Purchases, registrations, payments, and delivery of certain products or services may be processed through GoHighLevel, also known as HighLevel or GHL, or another external platform. Although a purchase may begin through a link on this website, the external platform may collect payment, contact, billing, and transaction information under its own terms and privacy practices.

By completing a purchase, you agree to the product description, price, license, access period, checkout terms, and other conditions presented at the time of purchase. You are responsible for reviewing the complete product listing before purchasing.

Prices, availability, product descriptions, and promotional offers may change without notice. Chefalo Consulting may correct pricing, typographical, technical, or product-description errors and may cancel or decline an order affected by an error. If we cancel an order after receiving payment, we will return the amount paid for the canceled item.

7. DIGITAL DELIVERY AND ACCESS

Digital products may include PDFs, toolkits, courses, recordings, videos, templates, guided-learning materials, downloads, and other electronic resources. Delivery may occur by email, download link, online portal, course platform, or another electronic method.

You are responsible for providing an accurate email address, maintaining access to the email account or platform used for delivery, using compatible technology, and downloading or accessing materials within any period stated in the product description.

If a purchased digital product is not delivered or cannot be accessed, contact Chefalo Consulting at shen@chefaloconsulting.com. We may correct the delivery issue, restore access, or provide a replacement copy. Product access periods, course availability, updates, and support are governed by the terms stated on the applicable product page or checkout.

8. DIGITAL-PRODUCT REFUNDS

Except where required by applicable law, purchases of digital products are final and nonrefundable once the product has been delivered, downloaded, accessed, opened, or made available to the purchaser. This policy applies because digital information and materials cannot be returned after access has been provided.

A refund restriction does not prevent Chefalo Consulting from correcting a duplicate charge, addressing a failure to deliver the purchased product, replacing a materially defective file, or providing a remedy required by applicable law.

Refunds, cancellations, rescheduling, and payment terms for speaking, training, guided learning, consulting, custom projects, paid appointments, and organizational engagements are governed by the applicable proposal, contract, scope of work, booking terms, or other written agreement.

9. INDIVIDUAL AND TEAM LICENSES

Chefalo Consulting resources are licensed, not sold. Purchasing or downloading a resource gives you only the limited permission described in the product listing, checkout, or accompanying license. Ownership of the material and its intellectual-property rights remains with Chefalo Consulting, LLC, Shenandoah Chefalo, or the applicable rights holder.

Individual License

An individual license permits use by one person for that person’s own learning and authorized professional application. The purchaser may not share the file, login, download link, course access, recording, or substantial contents with another person.

Team License

A team license permits use only by the purchasing organization and the specific team, number of users, or scope identified in the product description or purchase terms. Unless expressly stated otherwise, a team license does not permit:

  • Use by the entire organization beyond the licensed team or number of users

  • Use by affiliates, partner organizations, contractors, clients, or members of the public

  • Posting to a public, shared, or organization-wide drive, library, intranet, learning-management system, or repository beyond the licensed scope

  • External distribution or publication

  • Use to provide paid training, consulting, facilitation, certification, or other commercial services

Additional users, teams, departments, locations, organizations, or uses may require an expanded license or written permission from Chefalo Consulting.

10. INTELLECTUAL-PROPERTY OWNERSHIP

Unless otherwise stated, the website and its content, including text, frameworks, models, methods, graphics, logos, photographs, videos, audio, downloads, courses, books, toolkits, templates, presentations, training materials, and other resources, are owned by Chefalo Consulting, LLC, Shenandoah Chefalo, or their respective licensors and rights holders.

These materials are protected by copyright, trademark, and other intellectual-property laws. No ownership interest is transferred by visiting the website, downloading a free resource, purchasing a product, or receiving a license.

Chefalo Consulting’s name, logos, product names, program names, distinctive branding, and associated marks may not be used in a way that suggests sponsorship, endorsement, certification, partnership, or affiliation without written permission.

11. PERMITTED LINKS AND QUOTATIONS

You may share a link to a public page or public resource-access page so that others can visit the website and obtain their own authorized copy or license.

You may quote brief portions of publicly available website content for commentary, education, scholarship, news, or similar lawful purposes when you provide clear attribution to Chefalo Consulting or Shenandoah Chefalo, identify the source, and include a link to the relevant webpage when reasonably possible.

Permission to quote brief public content does not authorize reproduction of complete articles, frameworks, downloads, products, substantial portions of materials, or paid content. For broader use, contact Chefalo Consulting for written permission.

12. PROHIBITED USES

Unless Chefalo Consulting provides prior written permission or an applicable license expressly allows it, you may not:

  • Copy, reproduce, forward, upload, publish, distribute, sell, sublicense, rent, or otherwise share website content or materials

  • Share a purchased or downloaded file, login, course access, private link, recording, or resource with an unauthorized person

  • Remove or alter copyright, trademark, attribution, branding, licensing, or other proprietary notices

  • Modify, translate, adapt, repackage, or create derivative products from the materials

  • Present Chefalo Consulting content, frameworks, language, or materials as your own

  • Use the materials to provide paid speaking, training, facilitation, consulting, courses, certification, or other commercial services

  • Post materials in a public or shared repository, file-sharing service, membership library, learning-management system, or content collection outside the licensed scope

  • Scrape, crawl, harvest, systematically extract, index, or compile website content or materials using automated or manual means

  • Enter or upload substantial Chefalo Consulting content or proprietary materials into a public or commercial artificial-intelligence system

  • Use website content or materials to train, fine-tune, test, evaluate, or develop an artificial-intelligence model, dataset, competing product, or derivative resource

  • Interfere with website operation, security, access controls, or another visitor’s use of the website

  • Use the website or materials for an unlawful, deceptive, harmful, infringing, or unauthorized purpose

Nothing in these Terms and Conditions limits rights that cannot lawfully be restricted, including applicable rights of fair use or other statutory exceptions.

13. PROFESSIONAL SERVICES AND ORGANIZATIONAL ENGAGEMENTS

Information on the website about speaking, training, guided learning, implementation consulting, or other services is an invitation to learn more and does not by itself create a client, consulting, professional, fiduciary, or contractual relationship.

A professional engagement begins only when the parties enter an applicable written agreement or otherwise expressly confirm the engagement. Scope, fees, payment, scheduling, travel, cancellations, intellectual property, confidentiality, deliverables, and responsibilities for an engagement are governed by that agreement.

14. THIRD-PARTY PLATFORMS, CONTENT, AND LINKS

The website may link to or incorporate services provided by third parties, including GHL, Calendly, Zoom, payment processors, booksellers, course or resource platforms, analytics providers, social-media platforms, and embedded video or audio services.

Chefalo Consulting does not own or control third-party platforms and is not responsible for their availability, security, content, products, transactions, terms, privacy practices, representations, or actions. Your use of a third-party platform is governed by that provider’s terms and policies.

A link or reference to a third party does not necessarily constitute an endorsement of every product, statement, policy, or practice of that third party.

15. WEBSITE ACCURACY AND AVAILABILITY

We work to provide useful and accurate information, but website content may occasionally contain errors, omissions, outdated information, broken links, or technical problems. We may correct or update content at any time without notice.

We do not guarantee that the website or any feature, link, download, resource, or external service will always be available, uninterrupted, timely, secure, or error-free. We may modify, suspend, restrict, or discontinue any portion of the website or an offering, subject to applicable law and any binding written agreement.

16. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the website, public content, and free resources are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.

Chefalo Consulting disclaims, to the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability. Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.

Any warranty or remedy applicable to a purchased product will be limited to what is expressly stated in the product description, checkout terms, accompanying license, or applicable law.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Chefalo Consulting, LLC, Shenandoah Chefalo, and their employees, contractors, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of, or inability to use, the website, public content, free resources, or digital products. This includes loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings.

To the maximum extent permitted by law, the total liability arising from a digital product will not exceed the amount you paid for the specific product giving rise to the claim. Limitations applicable to professional services are governed by the applicable proposal, contract, scope of work, or other written agreement.

Nothing in these Terms and Conditions excludes or limits liability that cannot legally be excluded or limited.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Chefalo Consulting, LLC, Shenandoah Chefalo, and their employees, contractors, and representatives from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the website or materials, infringement of another person’s rights, unauthorized distribution or commercial use of materials, or material violation of these Terms and Conditions.

19. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Before filing a legal action concerning these Terms and Conditions, the parties agree to make a good-faith effort to resolve the dispute informally. A person raising a dispute should send a written description of the concern and requested resolution to the contact information below and allow a reasonable opportunity for response.

If the dispute cannot be resolved informally, it will be brought in a state or federal court with appropriate jurisdiction located in or serving Grand Traverse County, Michigan. Each party consents to the personal jurisdiction and venue of those courts, except where applicable law requires otherwise.

20. GENERAL TERMS, CHANGES, AND CONTACT

Changes to These Terms

We may update these Terms and Conditions to reflect changes in our website, offerings, technology, or legal obligations. The “Last updated” date identifies the most recent revision. Changes take effect when posted unless another effective date is stated. Your continued use of the website after an update constitutes acceptance of the revised Terms and Conditions.

Severability

If a provision of these Terms and Conditions is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver

Failure to enforce a provision of these Terms and Conditions does not waive the right to enforce it later. A waiver is effective only when made in writing by Chefalo Consulting.

Entire Agreement for Website Use

These Terms and Conditions, together with the Privacy Policy, Cookie Policy, applicable product or checkout terms, and any separate written agreement, constitute the applicable agreement concerning your use of the website and related materials. A separate written agreement controls where it expressly governs a professional engagement or conflicts with these Terms and Conditions.
